This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended from time to time.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries guidelines) Rules, 2021 that require publishing the rules and regulations, privacy policy and Customer/User agreement for access and/ or transacting and/ or usage of the www.shoptilakstonearts.com  for mobile and handheld devices and sets out the terms and conditions governing it and the disclaimer "(Terms & Conditions)".The Website and the Application is jointly referred as the (Platform).

www.shoptilakstonearts.com  is owned and operated by Tilak Stone Arts India Private Limited, a company duly incorporated under the Companies Act, 2013, (as amended from time to time) vide, having its Registered Office at First & Second Floor, TSA India, Mall 21, Mirza Ismail Road, Opposite Rajmandir Cinema, 5 Batti, C Scheme, Jaipur, Rajasthan 302001, hereinafter referred to as (Tilak, Company, We, us, Our) [which expression shall, unless it be repugnant to the context or meaning thereof, include its successors and assigns].

Tilak Stone Arts is a premier manufacturer and retailer of handcrafted marble temples, pooja mandirs, stone murtis, furniture, Home décor, wall panels, and decorative stone artifacts etc. Combining traditional craftsmanship with modern design, Tilak Stone Arts offers a wide range of ready-to-purchase products as well as bespoke creations tailored to the specific requirements, preferences, and spiritual needs of its customers.
www.shoptilakstonearts.com  is an online e-commerce platform operated by Tilak Stone Arts, through which customers can browse, select, and purchase handcrafted marble temples, pooja mandirs, stone idols, decorative artifacts, furniture, Home décor, wall panels, and related products. The Platform also enables customers to explore product collections, view detailed product descriptions and images, place orders, make online payments, request customizations, book design consultations, and track inquiries regarding products and services.

In addition to offering ready-made products for direct purchase, Tilak Stone Arts also provides customized temple and pooja-room design solutions, including design consultation, product customization, manufacturing, delivery, and installation services, subject to separate agreements and specifications where applicable.
The Platform serves as a convenient digital marketplace where customers can discover our products, learn about our craftsmanship and heritage, place orders, and communicate with our team regarding product-related queries, customization requests, and after-sales support.

By accessing, browsing, registering on, or using our website, mobile application, or any related services (collectively, the “Platform”), including purchasing products through the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use, our Privacy Policy, Shipping Policy, Return and Refund Policy, and any other policies published on the Platform from time to time. If you do not agree to these Terms of Use, you should refrain from accessing or using the Platform.
This Agreement defines the terms and conditions under which you are allowed to use the Website/Application and describes the manner in which we shall treat your account while you are registered as a member with us. DEFINITIONS:

Application/App/Website: Means a mobile/tablet, Application or website software product owned and developed by Tilak Stone Arts. 
Platform: Refers to the website, mobile application, and other related goods/services provided by Tilak Stone Arts, which facilitate interactions between customers/Users and company.
We, Us, Our, or Company: Refers to [Tilak Stone Arts], the entity providing and managing the Platform.
Content: Means all text, images, designs, descriptions, graphics, videos, documentation and other material published on the site.
Products: Means all stone, marble temples, furniture, Home décor, wall panels, murtis (idols), home décor, wall art and stone artifacts offered for sale on the Site.
Services: Includes design consultations, appointments, customised temple or pooja room design, installation services, virtual or in-person consultation, project planning, delivery coordination, and other professional service elements. 
User or Customer: Means any individual or entity who accesses or uses the Platform to browse, request or purchase goods or services us.
Order: Refers to a request placed by a Customer/User through the Platform for goods or services.
Booking/Appointment: Means any scheduled consultation, design session, site visit, measurement, virtual meeting or other professional engagement arranged by Tilak Stone Arts with a User. 
GST Invoice: Refers to a tax invoice that includes Goods and Services Tax, required to be issued by Sellers/service provider registered under the GST Act, for taxable goods and services.

1. NATURE AND APPLICABILITY OF TERMS

These Terms of Use ("Terms") govern your access to and use of the digital platform operated by Tilak Stone Arts, including our website, mobile application, and any services provided therein (collectively referred to as the "Platform"). These Terms constitute a binding legal agreement between you and Tilak Stone Arts.

By accessing, registering, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, along with our Privacy Policy, and any additional policies, disclaimers, or terms displayed on the Platform or communicated to you from time to time.

These Terms are applicable to all customers/Users of the Platform, including customers/Users who browse and place orders/enable services. Your continued use of the Platform after any changes to the Terms constitutes your express acceptance of those changes.

If you do not agree with any part of these Terms, or if you are not legally competent to enter into a binding contract as per applicable laws, you must not access or use the Platform.

We reserve the right to amend, update, or modify these terms at any time without prior notice. Any such modifications shall be effective upon being posted on the Platform. It is your sole responsibility to review these Terms periodically to ensure that you remain informed of any changes. Failure to comply with the Terms may result in suspension or termination of your access to the Platform and may also attract legal consequences under applicable law.

2. CONDITIONS OF USE

2.1. You must be 18 years of age or older to register and use the Services, or visit or use the Website/Application in any manner. By registering, visiting and using the Website/Application or accepting this Agreement, you represent and warrant to Tilak Stone Arts that you are 18 years of age or older, and that you have the right, authority and capacity to use the Website/Application and the Goods/Services available through the Website/Application, and agree to and abide by this Agreement. 

2.2. You must provide accurate, complete and current information when placing orders or booking appointments. 

2.3. You agree not to exploit the Site or Services for unlawful, unethical or harmful purposes.

3. TERMS OF USE APPLICABLE TO ALL USERS

These terms apply uniformly to all Users of the Platform, including Customer/Users, regardless of the nature or extent of their use. Every individual accessing or interacting with the Platform must comply with these baseline conditions:

1.1.  User Eligibility
You must be at least 18 years of age or have attained the legal age of majority in your jurisdiction to register and use the Platform. By accessing or using the Platform, you represent and warrant that you are legally competent to enter into a binding contract.

1.2. Account Responsibility
All Customer/Users are responsible for maintaining the confidentiality of their account credentials and are fully accountable for all activities occurring under their account. You agree not to share your login credentials or allow others to use your account.

1.3. Lawful Use
You agree to use the Platform only for lawful purposes and in compliance with all applicable laws, rules, and regulations. You shall not:
- Post false, misleading, or defamatory content;
- Use the Platform to harass, intimidate, or threaten other Users;
- Violate intellectual property rights;
- Attempt to reverse-engineer or compromise the integrity of the Platform.

1.4. Prohibited Conduct
You are expressly prohibited from:
- Engaging in fraudulent, abusive, or unethical behaviour;
- Circumventing the Platform's payment or communication systems;
- Collecting personal data from other customers/Users without consent;
- Posting or transmitting viruses, malware, or any other code intended to disrupt Platform functionality.

1.5. Platform Moderation and Enforcement
Tilak Stone Arts reserves the right to monitor activity on the Platform and may take appropriate action including suspension, deactivation, or permanent termination of access against any Customer/Users found violating these Terms. We may also cooperate with law enforcement where legally required.

4. CONSULTATIONS.

By booking any consultation or appointment, you (“Customer” / “User”) expressly agree to be bound by this Policy.
4.1. Booking & Appointment Terms: Tilak Stone Arts provides professional services including, but not limited to design consultations; site visits and measurements; virtual or physical meetings; pooja room or temple planning; conceptualisation and advisory sessions; project feasibility and material guidance. All consultations involve professional skill, artistic expertise, time allocation and intellectual input and are therefore chargeable unless expressly stated otherwise.

4.2. Booking Process: Appointments may be booked through the website, authorised representatives, or official communication channels of Tilak Stone Arts. A booking shall be deemed confirmed only upon receipt of applicable consultation or booking fees; and confirmation communicated by Tilak Stone Arts. Tilak Stone Arts reserves the right to refuse, reschedule or decline any booking without assigning reasons.

4.3. Consultation Fees Consultation fees are charged towards: Professional time; design expertise; conceptual and advisory services; preparatory work undertaken prior to the session. Consultation fees are not a guarantee of project execution and do not obligate Tilak Stone Arts to undertake further work unless separately agreed. 

4.4. Scope of Consultation: The scope of each consultation shall be limited to the duration agreed; the specific subject matter discussed; general or preliminary design and advisory input. Any additional work, detailed drawings, revisions, site visits or follow-up sessions shall require separate fees. 

4.5. Professional Conduct: Consultations shall be conducted in a professional manner and may be recorded or documented by Tilak Stone Arts for internal purposes. The Customer shall attend the consultation on time; provide accurate and complete information; cooperate during discussions. Disruptive, abusive, or uncooperative behaviour may result in immediate termination of the consultation without refund. 

4.6. Cancellation by Customer - A confirmed consultation appointment may be cancelled by the Customer –
- at least 48 hours prior to the scheduled time – eligible for refund;
- between 24-48 hours prior – eligible for refund for 50% refund;
- less than 24 hours prior – no refund shall be issued.
No show by the user after booking appointment shall be treated as deemed utilisation of service and shall not be refunded. 

6.2 Rescheduling of Consultations: One-time rescheduling may be permitted if requested at least 24 hours in advance; and subject to availability. Repeated rescheduling requests may attract additional charges or cancellation. 

6.2 Cancellations by Tilak Stone Arts: Tilak Stone Arts reserves the right to cancel or reschedule a consultation due to unforeseen circumstances, technical issues, force majeure events or operational constraints. In such cases, the Customer shall be entitled to rescheduling or full refund of the consultation fee. 

6.2 Refund Eligibility for Consultations: If Cancellation is done at least 48 hours prior to the scheduled appointment, then 100% refund. If Cancellation is done between 24 to 48 hours prior, then 50% refund is given and if cancellation is done less than 24 hours prior, or if there is no-show by the customer, then the customer is not eligible for a refund. 

6.2 Non-refundable Consultation Services: Once a consultation session has been conducted, the consultation fee shall be non-refundable, irrespective of whether the Customer proceeds with Tilak Stone Arts. If any design ideas, layouts, concepts or professional inputs are shared during the consultation, the consultation fee shall remain strictly non-refundable. 

6.2 Rescheduling and Refunds: One-time rescheduling may be permitted if requested at least 24 hours in advance, subject to availability. Rescheduled appointments shall not be eligible for refund once conducted. 

6.2 Cancellation by the Company: If Tilak Stone Arts cancels a consultation due to operational reasons, technical issues, or force majeure events, the Customer shall be entitled to rescheduling or full refund of the consultation fee. 

5. PRODUCT ORDERING

5.1. The display of Products on the Website constitutes an invitation to offer and shall not be construed as a binding offer by Tilak Stone Arts.

5.2. By placing an order through the Website, the Customer submits an offer to purchase the selected Product(s) subject to these Terms.

5.3. Tilak Stone Arts reserves the absolute right, at its sole discretion, to accept or reject any order placed through the Website without assigning any reason whatsoever.

5.4. Tilak Stone Arts reserves the right to refuse, suspend, limit, hold or cancel any order, either before or after acceptance, where it reasonably believes that:
(a) the Product is unavailable;
(b)there is an error in pricing, description or specifications;
(c) payment authorization has failed;
(d) the Customer has supplied incorrect or incomplete information;
(e) the order appears fraudulent, suspicious or unauthorized;
(f) the order violates applicable law or regulatory requirements;
(g) fulfilment of the order becomes commercially impracticable; or
(h) any force majeure event prevents performance.

5.5. Tilak Stone Arts shall not be liable for any direct, indirect, incidental or consequential losses arising from such cancellation.

5.6. Where cancellation occurs after receipt of payment, Tilak Stone Arts may refund the amount actually received, after deducting any costs already incurred towards manufacturing, procurement, design work, consultation, logistics or other expenses.

5.7. While Tilak Stone Arts endeavours to ensure that all pricing and product information displayed on the Website is accurate, errors may occasionally occur due to technical malfunction, typographical mistakes, system failures, human error or third-party issues.

5.8. Where a Product has been listed at an incorrect price, Tilak Stone Arts shall have the right to:
(a) cancel the order;
(b) refuse acceptance of the order;
(c) contact the Customer for revised confirmation at the correct price; or
(d) issue a refund of amounts received.

5.9. All Products displayed on the Website are subject to availability and stock levels.

5.10. Tilak Stone Arts does not  guarantee continuos availability of any Product, material, design, stone type, carving pattern, finish or accessory. 

5.11. Certain Products displayed on the Website may be discontinued, modified or withdrawn without prior notice.

5.12. Certain Products, particularly customized temples, pooja rooms, carved marble structures, murtis and made-to-order items, shall require payment of an advance amount as specified by Tilak Stone Arts.

5.13. Manufacturing, carving, customization, procurement of raw materials, design development or project execution shall commence only after:
(a) receipt of the prescribed advance payment; and
(b) receipt of final design approval from the Customer.

5.14. Once manufacturing, carving or customization has commenced, the advance amount shall be deemed earned and shall become non-refundable.

5.15. Tilak Stone Arts reserves the right to suspend, postpone or terminate production if scheduled payments are not received.

5.16. The Website may facilitate payments through third-party payment gateways, banks, financial institutions and payment processors.

5.17. Tilak Stone Arts is not responsible for:
(a) payment failures;
(b) transaction declines;
(c) banking errors;
(d) unauthorized interruptions;
(e) payment processing delays; or
(f) technical issues affecting third-party payment systems.

5.18. Tilak Stone Arts shall not be liable for any monetary loss, charges, penalties, interest or damages resulting from failures attributable to payment service providers.

5.19. Notwithstanding delivery or installation of any Product, legal and beneficial ownership shall remain vested in Tilak Stone Arts until full payment of all amounts due has been received.

5.20. The Customer shall be solely responsible for providing complete, accurate and up-to-date shipping, delivery and contact information. Tilak Stone Arts shall not be liable for delays, failed deliveries, losses or additional costs arising from inaccurate or incomplete information provided by the Customer.

5.21. Any re-delivery, re-routing, storage, handling or transportation charges incurred due to incorrect information shall be borne exclusively by the Customer.

5.22. The Customer shall take delivery of the Product promptly upon arrival at the designated delivery location. Refusal to accept delivery without a legitimate and documented reason shall not entitle the Customer to cancellation, refund, compensation or chargeback.

6. PRODUCT/ORDER CANCELLATION 

6.1 Order Cancellation – (Before Dispatch): For Standard, non-customised products cancellation may be requested within 24 hours from order confirmation, provided production has not commenced and the product has not been dispatched. For Customised Products, orders cannot be cancelled once design approval is given or production/carving/work has commenced. Any advance amount paid for customised products shall be non-refundable once production begins. 

6.2 Order Cancellation – (After Dispatch): Once a product is dispatched, no cancellation request shall be accepted Products.

7. REFUND POLICY

The following policy governs when and how refunds may be applicable through or in connection with the Platform:
7.1 Refund Policy (Before Dispatch) - For standard, non-customised products refund requests may be considered if cancellation is made within 24 hours of order confirmation and before dispatch, subject to verification. For customized products, refunds are not permitted once design approval has been provided or production, carving or fabrication has commenced. Any advance or part-payment made for such products shall be non-refundable once work begins. 

7.2 Refund Eligibility (After Delivery) – Refund shall be considered only if the Product is received in a damaged or defective condition and such damage is reported within 24 hours of delivery. The customer must submit photographic and/or video evidence for verification. Minor variations in colour, texture, grain, or carving arising from natural stone characteristics shall not be treated as defects. 

7.3. Condition of Product for Refund – Products eligible for refund must be unused and unaltered, be returned in original packaging and condition, not show signs of misuse, tampering or damage caused post-delivery. Products damaged due to improper handling, installation by third parties or natural wear and tear shall not be eligible for refund. 

7.4. Refund Process and Timeline – Upon arrival, refunds shall be processed within 7-14 business days to the original mode of payment. Shipping charges, handling fees, installation charges, design or consultation fees and applicable taxes are non-refundable, unless required by law. 

8. SHIPPING, DELIVERY, INSTALLATION AND RISK

8.1. Any delivery timelines, schedules, estimated dispatch dates, estimated installation dates, lead times, manufacturing timelines, project completion dates, or other timeframes communicated by Tilak Stone Arts, whether through the Platform, quotations, invoices, emails, WhatsApp communications, catalogues, sales representatives, or otherwise, are estimates only and are provided in good faith for informational purposes.

8.2. Such timelines shall not constitute a guarantee, warranty, condition, or essential term of the contract. Time shall not be deemed to be of the essence unless expressly agreed in writing by Tilak Stone Arts.

8.3. Delays Beyond Company's Control

The Customer acknowledges that delivery, manufacturing, dispatch, transportation, installation, and project completion may be affected by circumstances beyond the reasonable control of Tilak Stone Arts, including but not limited to:
a. Shortages or unavailability of raw materials;
b. delays by suppliers, manufacturers, artisans, transporters, logistics providers, or installation contractors;
c. weather conditions;
d. natural disasters, floods, earthquakes, fire, epidemics, pandemics, lockdowns, governmental restrictions, civil unrest, strikes, labour disputes, transportation disruptions, or force majeure events;
e. delays in obtaining Customer approvals, measurements, specifications, design confirmations, site readiness confirmations, or other information required for execution.
Tilak Stone Arts shall not be liable for any loss, damage, cost, inconvenience, business interruption, or consequential loss arising from such delays.

8.4. Tilak Stone Arts reserves the right to refuse, postpone, limit, or impose additional delivery charges for deliveries to remote, inaccessible, high-risk, politically sensitive, restricted, or logistically challenging locations. Delivery timelines for such locations may be extended without liability on the part of Tilak Stone Arts.

8.5. Inspection upon Delivery: The Customer shall inspect all Products immediately upon delivery and before installation, wherever reasonably possible. Any claim relating to:
a. physical damage;
b. breakage;
c. shortages;
d. incorrect products;
e. visible manufacturing defects;
shall be notified to Tilak Stone Arts in writing within twenty-four (24) hours of delivery, together with clear photographs, videos, and supporting evidence. Failure to provide such notice within the prescribed period shall constitute conclusive evidence that the Product was delivered in good condition and accepted by the Customer without objection.

8.6. Transfer of Risk: Risk of loss, theft, destruction, breakage, deterioration, or damage to the Product shall pass to the Customer upon:
a. physical delivery of the Product at the delivery location specified by the Customer; or
b. handover of the Product to the Customer, the Customer's representative, transporter, contractor, site manager, architect, or any person acting on behalf of the Customer,
whichever occurs earlier.
Thereafter, all risks relating to the Product shall be borne solely by the Customer.

8.7. Failed Delivery Attempts: Where delivery cannot be completed due to:
a. Customer absence;
b. incorrect address details;
c. site unavailability;
d. refusal to accept delivery;
e. lack of required permissions;
f. inaccessible premises; or
g. any act or omission attributable to the Customer,
Tilak Stone Arts may, at its sole discretion:
a. arrange re-delivery at the Customer's cost;
b. store the Product at a warehouse or third-party facility;
c. charge storage, handling, transportation, insurance, demurrage, and administrative costs; and/or
h. treat the Product as delivered for all contractual purposes.

8.8. Storage Charges: Where delivery, installation, or project completion is delayed due to any act, omission, request, or default of the Customer, Tilak Stone Arts shall be entitled to charge reasonable storage, warehousing, insurance, preservation, handling, transportation, and administrative expenses for the period of delay. Such charges shall become immediately due and payable upon demand.

8.9. Upon completion of delivery and/or installation, the Product shall be deemed accepted by the Customer unless a written complaint specifying material defects is submitted within forty-eight (48) hours.

8.10. Minor variations in colour, texture, grain, veining, carving, dimensions, polish, finish, or other characteristics inherent in natural stone and handcrafted products shall not constitute defects and shall not be grounds for rejection, replacement, refund, cancellation, or compensation.

9. RETURN, REPLACEMENT AND EXCHANGE POLICY

No return, replacement, exchange, or refund shall be available except as expressly provided in this Policy.
9.1. Products Eligible for Return
Subject to verification and approval by Tilak Stone Arts, return requests may be considered only in the following circumstances:
a. the Product delivered is materially different from the Product ordered;
b. the Product is received in a physically damaged condition attributable to transportation or handling prior to delivery;
c. the Product contains a material manufacturing defect that substantially affects its intended use;
d. an incorrect Product has been delivered by Tilak Stone Arts.
The Customer must notify Tilak Stone Arts within twenty-four (24) hours of delivery and provide clear photographs, videos, packaging details, invoice details, and any other information reasonably requested for verification.
Failure to report the issue within the prescribed period shall result in deemed acceptance of the Product and waiver of all return rights.

9.2. Products Not Eligible for Return: The following Products shall be strictly non-returnable, non-exchangeable, and non-refundable:
a. customised products;
b. made-to-order products;
c. bespoke temple structures;
d. customised pooja rooms;
e. customised marble installations;
f. customised stone carvings;
g. personalised products bearing names, inscriptions, logos, symbols, religious texts, or custom artwork;
h. stone murtis, idols, sculptures, carvings, and religious artefacts specifically manufactured or modified as per Customer specifications;
i. products manufactured based on Customer-approved drawings, measurements, layouts, or designs;
j. products sold under clearance sales, liquidation sales, special promotions, or "as-is" conditions;
k. products damaged due to improper handling, misuse, neglect, modification, alteration, incorrect installation, accident, or external causes after delivery;
l. products showing signs of use, installation, tampering, repair, or alteration by the Customer or any third party.
For the avoidance of doubt, once production, carving, fabrication, polishing, customization, engraving, or any manufacturing process has commenced, the Product shall become non-cancellable, non-returnable, and non-refundable.

9.3. Natural Stone Characteristics: The Customer acknowledges that marble, granite, sandstone, onyx, quartzite, and other natural stone materials inherently contain variations in colour, veining, grain patterns, texture, porosity, markings, mineral deposits, natural fissures, and surface characteristics. Minor variations in:
a. colour shades;
b. veining patterns;
c. texture;
d. polish;
e. grain structure;
f. dimensions within industry tolerances;
g. handcrafted carving details;
h. artistic appearance;
shall not constitute defects and shall not be grounds for return, exchange, replacement, refund, rejection, or cancellation.

9.4. Return Request Procedure
To initiate a return request, the Customer must:
a. submit a written request to Tilak Stone Arts within twenty-four (24) hours of delivery;
b. provide the order number, invoice number, and delivery details;
c. provide photographs and videos clearly evidencing the alleged defect, damage, or discrepancy;
d. preserve the original packaging and packing materials until the claim is resolved;
e. refrain from using, installing, altering, repairing, or modifying the Product.
Submission of a return request shall not automatically entitle the Customer to a return, replacement, exchange, or refund.

9.5. Verification and Return Approval
Upon receipt of a return request, Tilak Stone Arts may:
a. Conduct a remote inspection through photographs or video recordings;
b. arrange a physical inspection;
c. seek technical evaluation;
d. request additional information or documentation.
Tilak Stone Arts shall have sole discretion to determine whether the Product qualifies for return, replacement, repair, exchange, credit, or refund. The decision of Tilak Stone Arts following inspection and verification shall be final and binding.

9.6. Reverse Logistics and Collection
Where a return request is approved, Tilak Stone Arts may, at its sole discretion:
a. arrange collection of the Product through its logistics partners;
b. require the Customer to deliver the Product to a designated location;
c. engage third-party transporters for retrieval of the Product.
The Customer shall cooperate fully in facilitating such collection and shall ensure that the Product is securely packed to prevent damage during transit. Tilak Stone Arts shall not be responsible for damage occurring during return transit where the Product has not been packed in accordance with its instructions.

9.7. Inspection of Returned Products
All returned Products shall undergo detailed inspection upon receipt by Tilak Stone Arts. A return shall be accepted only if the Product:
a. is returned in substantially the same condition as delivered;
b. remains unused and uninstalled;
c. contains all accessories, components, documentation, and packaging originally supplied;
d. does not show signs of misuse, negligence, tampering, alteration, repair, or damage after delivery.
If inspection reveals that the Product does not satisfy these conditions, Tilak Stone Arts reserves the right to reject the return and return the Product to the Customer at the Customer's cost.

9.8. Replacement or Store Credit
Where a return is approved, Tilak Stone Arts may, at its sole discretion and subject to product availability:
a. replace the Product;
b. repair the Product;
c. issue store credit;
d. provide a partial refund; or
e. provide any other commercially reasonable remedy.
Nothing in this Policy shall obligate Tilak Stone Arts to provide a cash refund where replacement, repair, or store credit is reasonably available.

The Customer/User is prohibited from:
10.1. Violating or attempting to violate the integrity or security of the Website/Application or any Content;

10.2. Transmitting any information (including job posts, messages and hyperlinks) on or through the Website/Application that is disruptive or competitive to the provision of Goods/Services by Tilak Stone Arts India Private Limited.

10.3. Intentionally submitting on the Website/Application any incomplete, false or inaccurate information;

10.4. Making any unsolicited communications to other seller/service provider;

10.5. Using any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars or intelligent agents) to navigate or search the Website/Application;

10.6. Attempting to decipher, decompile, disassemble or reverse engineer any part of the Website/Application;

10.7. Copying or duplicating in any manner any of the Content or other information available on the Website/Application; 

10.8. Conducting any systematic or automated data collection activities including without limitation scraping, data mining, data extraction and data harvesting on or in relation to our Website/Application Services without Tilak Stone Arts Private Limited express written consent;

10.9. Violating any local, state, national or international law;

10.10. Using the Website/Application in a way which interferes, disrupts or hampers with the proper functioning of the Website/Application;

10.11. To gain or attempt to gain unauthorised access (other than through the interface that is provided by the Website) to our Website/Application and/or goods/Services;

10.12. To interfere with or disrupt the integrity, security or performance of our goods/Services;

10.13. To create accounts for our goods/Services through unauthorised or automated means;

10.14. Framing or hotlinking or deep linking any Company Website’s Content;

10.15. Posting materials to any of the Website/Application’s social media pages or otherwise on social media, that are unlawful, fraudulent, libelous, slanderous, defamatory, abusive, harassing, threatening, obscene or infringing on the rights of any third-party, including without limitation intellectual property, privacy/confidentiality or publicity rights;

10.16. Tilak Stone Arts India Private Limited does not permit any of these practices and reserves the right to immediately remove content within its sole discretion. Tilak Stone Arts India Private Limited further reserves the right to block or otherwise prohibit the Customer/User from accessing or using Website/Application, Website/Application’s social media pages or application;

10.17. Infringe any patent, trademark, copyright or other proprietary rights of Tilak Stone Arts India Private Limited;

10.18. Impersonates another person;

11. INTELLECTUAL PROPERTY

8.1. Ownership 
All content, materials, designs, layouts, graphics, patterns, catalogues, templates, user interfaces, logos, trade dress, artwork, photographs, videos, audio, text, software, source code, object code, databases, tools, algorithms, workflows, and any other materials displayed, generated, hosted, or used on or in connection with the Website and Application of Tilak Stone Arts Private Limited (collectively, the “Tilak Stone Arts Materials”) are the exclusive property of Tilak Stone Arts Private Limited and/or its licensors and are protected under applicable Indian and international laws relating to copyright, trade marks, designs, patents, and other intellectual property rights.
Nothing contained in these Terms or the Application Policy shall be construed as granting the user any right, title, or interest in or to the Tilak Stone Arts Materials, whether by implication, estoppel, or otherwise. All rights not expressly granted herein are reserved exclusively by Tilak Stone Arts Private Limited.
The Tilak Stone Arts Materials may be used solely in accordance with these Terms and strictly for lawful and authorised purposes. Any unauthorised use is expressly prohibited.

8.2. Trade Marks
All device marks, word marks, logos, service marks, trade dress, page headers, custom graphics, button icons, scripts, designs, patterns, and other trade marks displayed on the Website or Application (collectively, “Trade Marks”) are either registered or unregistered trade marks of Tilak Stone Arts Private Limited or their respective owners.

No Trade Mark may be copied, reproduced, imitated, modified, used, or displayed, in whole or in part, without the prior written consent of Tilak Stone Arts Private Limited, whether for commercial or non-commercial purposes.

All other trade marks, product names, company names, logos, or service marks appearing on the Website or Application are the property of their respective owners and are used for identification purposes only.

8.3. Customisation Tools, User Designs, and Final Products
The Application provides features, tools, templates, formats, patterns, layouts, and functionalities that enable users to customise, configure, or create designs, patterns, layouts, or products (“Customised Designs”).
You expressly acknowledge and agree that:
All tools, base designs, templates, patterns, configurations, design logic, proprietary methodologies, and underlying intellectual property used to enable such customisation are the exclusive intellectual property of Tilak Stone Arts Private Limited;
Any Customised Design, output, pattern, layout, product visualisation, drawing, mock-up, or final product created, generated, or derived by the user through the use of the Application, tools, designs, or materials provided by Tilak Stone Arts Private Limited shall be deemed a derivative work and shall vest exclusively in Tilak Stone Arts Private Limited, irrespective of the extent of user input or modification;
No Customised Design or final product created using the Application shall confer upon the user any ownership, licence, or proprietary right, whether intellectual or commercial, in such design or product;
The user shall not reproduce, replicate, manufacture, commission, licence, assign, sell, distribute, disclose, or cause to be created, directly or indirectly, the same or substantially similar product or design through any third party, competing platform, manufacturer, or service provider, whether for commercial or non-commercial purposes.

8.4. Restrictions
Except as expressly permitted under applicable law or these Terms, you agree not to:
Reproduce, duplicate, copy, sell, resell, distribute, publish, license, assign, or commercially exploit any portion of the Tilak Stone Arts Materials or Customised Designs without prior written consent;
Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from the Website, Application, tools, software, or any materials therein;
Remove, alter, or obscure any copyright, trade mark, or other proprietary rights notices;
Use any Customised Design, design output, or final product generated through the Application to create or procure similar products from third parties or competitors.

8.5. Confidential Design Information
All information shared during consultations or through the Application, including but not limited to design concepts, custom patterns, drawings, layouts, presentations, specifications, pricing structures, timelines, methodologies, technical inputs, and customised products or designs, shall be deemed Confidential Information, irrespective of whether a separate non-disclosure agreement is executed.
The user shall not, without prior written consent of Tilak Stone Arts Private Limited:
Use such Confidential Information for any purpose other than availing services from Tilak Stone Arts Private Limited;
Disclose such information to any third party; or
Derive or attempt to derive any commercial benefit therefrom.

12. THIRD-PARTY LINKS

The Platform may contain links to third-party websites, applications, or services (“Third-Party Sites”) that are not owned, operated, maintained, or controlled by TILAK STONE ARTS. These links are provided solely for your convenience and do not constitute an endorsement, approval, sponsorship, or recommendation by TILAK STONE ARTS of any content, products, services, or business practices of such Third-Party Sites.

9.1. No Responsibility for Third Parties
Tilak Stone Arts makes no representations or warranties regarding the accuracy, reliability, legality, or quality of any content, goods, or services offered by Third-Party Sites. You acknowledge and agree that Tilak Stone Arts shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through Third-Party Sites.

9.2. Your Risk and Responsibility
When you click on a link to a Third-Party Site, you leave the Platform and will be subject to the terms of use, privacy policies, and security practices of that third party, which may differ from those of Tilak Stone Arts. You access and use any such third-party websites or applications at your own risk and discretion.
It is compulsory for the Seller/Service Provider to ensure that all purchases made by registered customers of Tilak Stone Arts are duly recorded in the mobile application provided by Tilak Stone Arts. For every purchase of Rupees One Hundred (₹100) or more, the Seller/Service Provider shall scan the customer’s unique identity QR code, accurately enter the purchase value, and upload a valid invoice for the transaction in the merchant application.
No benefit, loyalty reward, or incentive shall accrue to the customer unless the transaction is properly recorded and the corresponding invoice is uploaded.
It shall also be the responsibility of the Customer to ensure that the Seller/Service Provider completes the required steps at the time of purchase. Customers are advised to verify that their QR code is scanned and the transaction is properly reflected in the Tilak Stone Arts mobile application. Failure to do so may result in forfeiture of associated benefits, for which Tilak Stone Arts holds no responsibility or liability.

9.3. Third-Party Advertisements
The Platform may display advertisements provided by third-party advertising partners. These advertisements are not controlled or endorsed by TILAK STONE ARTS, and your interactions with any advertisers or promotions are solely between you and the advertiser. TILAK STONE ARTS shall not be liable for any loss or damage of any sort incurred as a result of any dealings with advertisers or third parties.


10. LIMITATION OF LIABILITY.

To the fullest extent permitted by applicable law, in no event shall Tilak Stone Arts Private Limited be liable for any special, punitive, exemplary, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, whether in an action in contract, tort (including but not limited to negligence), or otherwise, arising out of or in any way related to Tilak Stone Arts’s operation of, or your use of, the website/application, even if Tilak Stone Arts Private Limited or its authorized representatives have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, in no event shall the aggregate liability of Tilak Stone Arts Private Limited [whether in contract, warranty, tort (including but not limited to negligence), product liability, strict liability or other theory] arising out of or relating to Tilak Stone Art’s operation of the website/application exceed the consultation fee/project fee/product price of the user.

The limitations set forth in this section will not limit or exclude liability for the gross negligence, intentional misconduct or fraud of Tilak Stone Arts Private Limited in connection with operating the website/application.

The website/application is provided on a "as is" and "as available" basis. No company name is liable for any technical or other operational difficulties or problems which may result in loss of your data, personalization settings or other interruptions in the features offered on the website/application.

11. REPRESENTATION AND WARRANTIES

By Using This Website/Application You Represent and Warrant That:
10.1. You are 18 years of age or older and that Your use of the Website/Application shall not violate any applicable law or regulation;

10.2. All registration information You submit is truthful and accurate and that You agree to maintain the accuracy of such information;

10.3. You as a Registered Customer/User will use the Website/Application solely for Your personal and non-commercial use. Any use of this Website/Application or its content other than for personal purposes is prohibited.

10.4. Your use of this Website/Application shall be subjected to the following restrictions:
You will not delete or modify any content of the Website/Application including but not limited to, legal notices, disclaimers or proprietary notices such as copyright or trademark symbols, logos, that You do not own or have express permission to modify;
You will not decompile, reverse engineer, or disassemble the content, or
You will not remove any copyright, trademark registration, or other proprietary notices from the Website/Application. 

10.5. You further agree not to access or use this Website/Application in any manner that may be harmful to the operation of this Website/Application or its content.

10.6. You will not use the Website/Application and / or services in any way that is unlawful, or harms the Company or any other person or entity, as determined in the Company's sole discretion.

10.7. You will not engage in any form of antisocial, disrupting, or destructive acts, including "flaming", "spamming", "flooding", "trolling", "phishing" and "greifing" as those terms are commonly understood and used on the Internet.

10.8. You will not host, display, upload, modify, publish, transmit, update or share any information that –
11.1.1.1. belongs to another person and to which the Customer/User does not have any right to;
11.1.1.2. is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
11.1.1.3. harm minors in any way;
- infringes any patent, trademark, copyright or other proprietary rights(s), violates any law for the time being in force;
- deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
- impersonate another person;
- contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
- threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

10.9. TILAK STONE ARTS INDIA PRIVATE LIMITED does not provide any guarantee and shall not be held liable or responsible for the failure to send sms or other notifications or reminders to you as a feature of the website/application. 

11. CONFIDENTIALITY.

All information, data, documents, materials, content, communications, and records, whether in written, electronic, oral, or any other form, made available on or through this website, including but not limited to proprietary information, business information, technical data, trade secrets, user data, login credentials, pricing, processes, and internal policies (“Confidential Information”), shall be treated as strictly confidential.
Users agree not to disclose, disseminate, copy, reproduce, modify, distribute, publish, transmit, or otherwise make available, directly or indirectly, any Confidential Information to any third party without the prior written consent of the website owner, except where such disclosure is required by applicable law or a competent judicial or regulatory authority, provided that prior notice of such requirement is given to the website owner to the extent legally permissible.
The obligation of confidentiality shall survive the termination of access to or use of the website and shall remain in force until such Confidential Information lawfully enters the public domain through no act or omission of the user. 13. USER DATA.

As described more fully in our privacy policy, you grant us broad rights to use and exploit de-identified data, including de-identified Customer/User Data collected by us through your use of the Services, which rights continue even after this Agreement ends. Except for our limited rights to use the Customer/User Data set forth and in our privacy policy, we acquire no right, title or interest from you or your customers/Users under this Agreement in or to Customer/User Data, including any intellectual property rights therein.

14. FEEDBACK

By providing feedback on the Website/Application , via SMS, email, or any other medium, you hereby grant us the right to use such feedback for promotional, marketing, or advertising purposes. You acknowledge and agree that Tilak Stone Arts India Private Limited may utilize your feedback in any manner it deems appropriate, including but not limited to, displaying it on the Website/Application or in promotional materials, without any objection from you.


15. ELECTRONIC COMMUNICATIONS

By accessing or using the Platform, creating an account, placing an order, making a purchase, booking a consultation, or otherwise interacting with Tilak Stone Arts, you expressly consent to receive communications, notices, disclosures, invoices, order confirmations, updates, reminders, promotional materials, and other information from Tilak Stone Arts through electronic means, including email, SMS, WhatsApp, telephone calls, push notifications, in-app notifications, and other electronic records.

You agree that all such electronic communications shall satisfy any legal requirement that such communications be in writing and shall be deemed valid and enforceable under the provisions of the Information Technology Act, 2000 and applicable laws.

The Customer is responsible for maintaining accurate and updated contact information. Tilak Stone Arts shall not be liable for any loss, delay, or failure in communication arising from incorrect, outdated, or inaccessible contact details provided by the Customer.


16. FORCE MAJEURE

Tilak Stone Arts shall not be liable for any failure, delay, interruption, deficiency in performance, non-delivery, non-installation, or inability to perform any of its obligations under these Terms where such failure or delay arises directly or indirectly from any event or circumstance beyond its reasonable control, including but not limited to acts of God, natural disasters, floods, earthquakes, fire, epidemics, pandemics, public health emergencies, lockdowns, governmental actions or restrictions, changes in law, court orders, war, terrorism, civil unrest, riots, strikes, labour shortages, industrial disputes, transportation disruptions, supply chain interruptions, raw material shortages, power failures, communication network failures, or any other force majeure event.
In the occurrence of any such event, Tilak Stone Arts shall be entitled to a reasonable extension of time for performance of its obligations and shall not be liable for any direct, indirect, incidental, consequential, or special losses or damages suffered by the Customer as a result thereof.
Where a Force Majeure event continues for a prolonged period rendering performance commercially impracticable or impossible, Tilak Stone Arts reserves the right to suspend, modify, postpone, or cancel the affected order, service, delivery, installation, or obligation without incurring any liability.


17. INDEMNITY

The Customer agrees to indemnify, defend, and hold harmless Tilak Stone Arts, its directors, officers, employees, representatives, affiliates, successors, and assigns from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees and expenses) arising out of or relating to:
a. the Customer's breach of these Terms or any other policies of the Platform;
b. misuse of the Platform, Products, or Services;
c. violation of any applicable law, regulation, or third-party rights by the Customer;
d. any false, inaccurate, misleading, or unauthorized information provided by the Customer;
e. any User Content, reviews, photographs, testimonials, or materials submitted by the Customer; or
f. Any claim, dispute, or proceeding brought by a third party arising from the Customer's acts, omissions, negligence, misconduct, or use of the Platform.
The obligations under this clause shall survive termination of the Customer's account, completion of any order, and cessation of use of the Platform.


18. GOVERNING LAW AND DISPUTE RESOLUTION

The provisions of this Agreement/Policy shall be governed by, and construed in accordance with Indian laws;
18.1. Arbitration
18.1.1.  Any dispute, controversy or claims arising out of or relating to these terms or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996;
18.1.2. The arbitral tribunal shall compose of a sole arbitrator appointed by us.
18.1.3. The place of arbitration shall be ¬¬_________ and any award whether interim or final, shall be made, and shall be deemed for all purposes between the parties to be made in __________.
18.1.4. The arbitral procedure shall be conducted in English language and any award or awards shall be rendered in English. The procedural law of the arbitration shall be Indian law;
18.1.5. The award of the arbitrator shall be final and conclusive and binding upon the Parties, and the Parties shall be entitled (but not obliged) to enter judgment thereon in any one or more of the apex courts having jurisdiction;
18.1.6.  The rights and obligations of the Parties under, or pursuant to this Clause, including the arbitration agreement in this Clause, shall be governed by and subject to Indian laws.

18.2. Notwithstanding the existence of any dispute, the Parties shall continue to perform their respective obligations under this Agreement pending resolution of the dispute without regard to the dispute, insofar as those obligations are not the subject matter of the dispute.

18.3. Notwithstanding the above, the Parties shall be entitled to approach the Court of appropriate jurisdiction in Mumbai for the grant of any interim or equitable relief.
